PART A — TERMS OF SERVICE

1. GENERAL

This document sets out the detailed conditions for the access and use of the Website, the App, and the Matrix Services (each as defined below) by any person accessing, using, or availing the same. It has been prepared in accordance with the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023 ("DPDP Act") and the Digital Personal Data Protection Rules, 2025, the Insurance Regulatory and Development Authority of India Act, 1999, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and all applicable rules made thereunder.

This is an electronically generated document and does not require any physical signature. Your use of the Website and the App is subject to the terms and conditions set forth herein. The domain name www.matrix.in and the mobile applications are owned by the Company (defined below).

1.1 Definitions

In these Terms, unless the context requires otherwise:

  1. "Anti-Money Laundering Guidelines" or "KYC Norms" means the Know Your Customer (KYC) Norms / Anti-Money Laundering (AML) Standards / Combating the Financing of Terrorism (CFT) obligations issued under the Prevention of Money-Laundering Act, 2002, including Master Circulars issued by the Reserve Bank of India and the Insurance Regulatory and Development Authority of India ("IRDAI").

  2. "App" means any software application developed and/or owned by the Company to enable Users to access its services on smartphones, tablets or personal digital assistants, and includes the GoMatrix mobile application and any eSIM activation or management application.

  3. "Applicable Laws" means any law, rule, regulation, ordinance, order, code, treaty, judgment, decree, injunction, permit or decision of any Governmental Authority having jurisdiction, including the Information Technology Act, 2000, the DPDP Act, 2023, the DPDP Rules, 2025, the Prevention of Money-Laundering Act, 2002, the Insurance Act, 1938, the IRDAI Act, 1999, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and all rules, regulations, guidelines, notifications and circulars issued thereunder.

  4. "Company" / "We" / "Us" means Matrix Cellular (International) Services Private Limited, incorporated under the Companies Act, 2013 (formerly the Companies Act, 1956), having its registered office at 7, Khullar Farms, Mandi Road, Mehrauli, New Delhi – 110030.

  5. "eSIM" means an embedded subscriber identity module (electronic SIM) that allows Users to activate a cellular plan without using a physical SIM card, as offered by the Company.

  6. "Insurer" means the insurance company whose products are offered to the User through the Service Provider.

  7. "Matrix Services" means the facility offered by the Company of introducing the User to the Service Provider — who is an IRDAI-registered insurance intermediary (insurance agent, corporate agent, or insurance broker) — through whom the User may procure an insurance product, and includes the facilitation of travel insurance, international SIM cards, eSIM services, forex cards, and other travel-related products. The Company does not itself hold any IRDAI registration as an insurance intermediary and does not solicit, advise on, or effect insurance contracts. All regulated insurance intermediation is carried out solely by the Service Provider.

  8. "Service Provider" means the IRDAI-registered third-party insurance intermediary with which the Company has an arrangement to provide insurance-related services to Users.

  9. "User" / "You" / "Your" means any person who uses, accesses, or otherwise avails any Matrix Service through the Website or App.

  10. "Website" means the domain accessible at www.matrix.in.

2. ELIGIBILITY

The Website, App, and Matrix Services are intended solely for persons who: (a) have attained at least eighteen (18) years of age; (b) are of sound mind; and (c) are not disqualified to contract under Applicable Laws, including the Indian Contract Act, 1872. By accessing or using any part of the Website or App, you represent and warrant that you meet these eligibility requirements.

3. UPDATES TO TERMS

We may modify these Terms at any time by posting the updated version on the Website or App, or by notifying you via email or other communication. The "Last Updated" date at the top of this document indicates when modifications were last made. Your continued use of the Website, App, or Matrix Services after any modification constitutes your acceptance of the updated Terms. We recommend reviewing these Terms periodically.

When using particular features of the Website or App, you may also be subject to additional guidelines or policies posted from time to time (including terms for forex and travel card services), all of which are incorporated by reference into these Terms.

By using the Website, App, or Matrix Services, you agree to be bound by the Privacy Policy, which is incorporated into and forms part of these Terms.

5. USING THE MATRIX SERVICES

5.1 Nature of the Company's Role

The Company acts solely as a facilitator and introducer. By accessing the Website or App, you may be introduced to the Service Provider, who may offer one or more insurance products. The Company is not an insurance company, insurance agent, corporate agent, insurance broker, or any other IRDAI-registered intermediary. All regulated insurance solicitation, distribution, and contract activities are performed exclusively by the Service Provider. The transaction between you and the Service Provider, or you and the Insurer, is on a principal-to-principal basis. The Company has no role in that transaction and does not guarantee the performance of the Insurer or Service Provider.

5.2 User Acknowledgements

By using the Matrix Services, you represent and confirm that:

  • You have read these Terms and, where applicable, the terms and conditions of all products offered by Service Providers, including the terms of any insurance policy;

  • You have all necessary approvals from any relevant Governmental Authority for travelling abroad and for availing the Matrix Services;

  • You are aware of the risks involved in purchasing insurance through an online platform, and that the Company will not be liable for any data accessed, stolen, or misappropriated due to unauthorised third-party access, subject to reasonable security safeguards implemented by the Company under the DPDP Act; and

  • The Company cannot control the actual transaction between you, the Service Provider, and the Insurer, and is not responsible for any non-performance or breach of any contract between those parties.

5.3 Right to Modify Services

The Company reserves the right to discontinue or modify any part of the Website, App, or Matrix Services at any time and without prior notice.

6. USER CONDUCT

You agree to comply with all Applicable Laws. In particular, pursuant to Rule 3 of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you agree not to host, upload, transmit, or share any content that:

  • Belongs to another person without their right;

  • Is harmful, harassing, defamatory, obscene, pornographic, invasive of privacy, or otherwise unlawful;

  • Harms minors;

  • Infringes any patent, trademark, copyright, or other proprietary rights;

  • Contains malware, viruses, or other harmful code; or

  • Threatens national integrity, security, or sovereignty, or incites commission of any cognisable offence.


You further agree not to:

  • Gain unauthorised access to the Website, App, or Company's systems through hacking, password mining, or any other means;

  • Use automated tools (bots, scrapers, spiders) to access or extract data from the Website or App;

  • Decompile, reverse engineer, or obtain the source code of any part of the Website or App;

  • Use the Website or App for any commercial purpose without prior written authorisation; or

  • Interfere with or disrupt the operation of the Website, App, or Matrix Services.

7. REGISTERED USERS

7.1 Account Registration

To access certain features, you may be required to register an account. You agree to: (a) provide true, accurate, current, and complete information; and (b) keep that information up to date. The Company may suspend or terminate your account if it has reasonable grounds to believe that information you have provided is false, inaccurate, or outdated.

7.2 Account Security

You are responsible for maintaining the confidentiality of your username and password and for all activities occurring through your account. You must not share your account credentials with any third party. You agree to notify the Company immediately of any unauthorised use of your account. The Company will not be liable for any loss arising from your failure to comply with these requirements.

8. BOOKING AN INSURANCE PRODUCT

8.1 Introduction to Service Provider

Through the Website or App, the Company may introduce you to the Service Provider. The Service Provider's products may be displayed or linked through the Website or App solely to indicate what services may be available. In doing so, the Company acts only as an advertiser or introducer and not as an insurance agent, broker, or any other form of insurance intermediary.

8.2 Information Submitted by User

When using the Matrix Services to procure insurance, you may submit information including your name, date of birth, travel dates, policy requirements, and passport and visa details. You authorise the Company to transmit this information to the Service Provider, who may in turn share it with an Insurer to offer a suitable product. You acknowledge that information submitted constitutes an invitation to offer and not an offer, and that the Company acts solely as an intermediary transmitting such information.


The Company processes personal data as a Data Fiduciary under the DPDP Act, 2023, and shall process such data only for specified purposes based on lawful consent or legitimate use. The Service Provider and the Insurer may act as independent Data Fiduciaries in respect of data shared with them. You are advised to review their privacy policies independently.

8.3 Payment and Policy Issuance

The insurance policy, once confirmed, may be issued directly by the Insurer or through the Service Provider. You authorise the Company to collect payment on your behalf towards premium and fees payable, which the Company will transmit to the Service Provider or Insurer after deducting its own charges. In accordance with Section 64VB of the Insurance Act, 1938, commencement of risk cover is subject to receipt of premium by the Insurer.

The Company may charge a non-refundable facilitation fee or deposit at any stage before policy confirmation. If you cancel your application prior to obtaining policy confirmation, the Company may retain all or part of this fee in its sole discretion.

8.4 Insurance Disclaimer

The Company acts solely as a facilitator and introducer and does not underwrite any insurance product. All claims settlement is at the sole discretion of the Insurer under the terms of the insurance policy. The Company makes no representation or warranty as to the suitability, adequacy, or accuracy of any insurance product offered through the Matrix Services.


Insurance is the subject matter of solicitation. For full details of benefits, exclusions, limitations, terms, and conditions, please read the sales brochure and policy wording carefully before concluding a sale.

8.6 Travel Insurance Exclusions

Travel insurance products procured through the Matrix Services are subject to exclusions determined by the Insurer. In particular, travel insurance may not be valid for travel to countries or regions subject to political disturbance, war, sanctions, or government travel advisories. Pre-existing diseases may not be covered unless specifically opted for and additional premium paid. You are advised to read the policy wording carefully before purchase.

8.7 KYC and Document Verification

You may be required to produce documents for identity verification in compliance with Anti-Money Laundering Guidelines and KYC Norms, including a valid passport, visa, PAN card, and travel details. The Company reserves the right to take copies of documents produced and to require their authentication. You agree to cooperate fully with this process. Additional documents may be required to comply with US FATCA obligations or any other Governmental Authority requirement.

8.8 Electronic Communication Consent

By submitting your contact number and/or email address, you authorise the Company, the Service Provider, and the Insurer to contact you via telephone calls, SMS, email, WhatsApp, and other electronic means to: (a) provide information about insurance and related products; (b) assist with incomplete transactions; (c) send policy reminders, renewal notices, and payment confirmations; (d) provide travel alerts and service notifications; and (e) send promotional materials about Matrix products including SIM cards, eSIMs, forex cards, and travel insurance. This authorisation applies regardless of whether your contact number is registered on the TRAI's NDNC or DND registry.

8.9 Insurance Declarations

By using the Matrix Services to procure an insurance product, you declare and confirm that:

  • The information provided in your application is correct, complete, and true to the best of your knowledge;

  • You are currently resident in India and hold a valid Indian passport or Indian work/residence permit;

  • You are above 18 years of age;

  • You are not travelling abroad for the purpose of obtaining medical treatment, against the advice of a medical practitioner, or against any government advisory;

  • The information provided will form the basis of the insurance policy, and the policy will come into force only after full receipt of premium;

  • You consent to the Insurer seeking medical information from any doctor or hospital who has attended to you, or from any past or present employer, for underwriting and/or claims settlement purposes;

  • You authorise the Company and the Insurer to share your proposal information, including medical records, with any Governmental or Regulatory authority for underwriting and/or claims settlement; and

  • All premiums are paid from bona fide sources and not from proceeds of any offence listed under the Prevention of Money-Laundering Act, 2002.

9. INTELLECTUAL PROPERTY

All content on the Website, App, and Matrix Services — including design, graphics, text, sounds, pictures, and other files ("Materials") — is the property of the Company and/or its licensors, protected by Indian and international copyright and intellectual property laws. You are authorised to view, download, and print Materials only for personal, non-commercial use. You may not copy, reproduce, distribute, republish, modify, or create derivative works from any Materials without prior written authorisation.

The trademarks, service marks, trade names, and logos ("Marks") on the Website or App are the sole property of the Company and/or its licensors. Third-party product names and logos referenced on the Website or App are the property of their respective owners and do not imply any affiliation with or endorsement of the Company.

10. THIRD PARTY SITES

Links on the Website or App to third-party websites are provided for convenience only. The Company does not control or endorse those sites and is not responsible for their content, goods, or services. Your use of third-party links is at your own risk, and any dealings with third parties are solely between you and those parties.

11. WARRANTIES, DISCLAIMERS, AND LIMITATION OF LIABILITY

THE WEBSITE, APP, AND MATRIX SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND REPRESENTATIVES ("COMPANY PARTIES") EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TIMELINESS, AND NON-INFRINGEMENT. THE COMPANY PARTIES MAKE NO WARRANTY THAT: (I) THE WEBSITE OR APP WILL MEET YOUR REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (III) ANY INFORMATION OBTAINED WILL BE ACCURATE OR RELIABLE.

THE COMPANY IS NOT A PARTY TO ANY TRANSACTION BETWEEN YOU AND THE SERVICE PROVIDER OR INSURER. THE COMPANY PARTIES SHALL NOT BE LIABLE FOR ANY ACTS OR OMISSIONS OF THE SERVICE PROVIDER OR INSURER UNDER ANY SEPARATE AGREEMENT ENTERED INTO ON A PRINCIPAL-TO-PRINCIPAL BASIS. IT IS YOUR SOLE RESPONSIBILITY TO EVALUATE THE ACCURACY AND COMPLETENESS OF ANY INFORMATION, OPINIONS, OR STATEMENTS ON THIS WEBSITE.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE, APP, OR MATRIX SERVICES. YOU REPRESENT AND WARRANT THAT YOU ARE AN INDIVIDUAL OF LEGAL AGE TO FORM A BINDING CONTRACT AND THAT ALL INFORMATION YOU SUBMIT IS ACCURATE AND TRUTHFUL.

12. INDEMNIFICATION

You agree to indemnify and defend the Company Parties against all claims, demands, losses, expenses, damages, and costs (including reasonable legal fees) arising from or relating to: (a) your use of or conduct via the Website, App, or Matrix Services; (b) any activity related to your account; (c) any content you post or transmit; (d) your breach of these Terms; or (e) your infringement of any third-party rights. The Company reserves the right to assume exclusive control of any such claim at its own expense, and you agree to cooperate fully.

13. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed under the laws of the Republic of India. Subject to Clause 13.2, you agree to the exclusive jurisdiction of the courts in New Delhi, India.

Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of a sole arbitrator appointed by mutual agreement or, failing agreement, in accordance with the rules of a recognised arbitral institution such as the Delhi International Arbitration Centre. The seat and place of arbitration shall be New Delhi; proceedings shall be conducted in English. The arbitral award shall be final and binding. Each party shall bear its own costs unless the arbitral tribunal directs otherwise.

14. COPYRIGHT INFRINGEMENT

If you believe your copyrighted work has been infringed through the Website or App, please notify our Copyright Agent with: (a) your signature (electronic or physical); (b) identification of the copyrighted work; (c) description of where the infringing material is located; (d) your contact details; (e) a good-faith statement that the use is not authorised; and (f) a statement of accuracy under penalty of perjury.

15. MISCELLANEOUS

15.1 Entire Agreement

These Terms constitute the entire agreement between the Company and each User with respect to the subject matter herein and supersede all prior agreements and representations.

15.2 Severability

If any provision is held unlawful, void, or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Waiver

The Company's failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision. You may not assign your rights or obligations under these Terms. The Company may transfer, assign, or delegate these Terms without your consent.

15.4 No Agency

No agency, partnership, joint venture, or employment relationship is created by these Terms. You have no authority to bind the Company in any respect.

15.5 IRDAI Regulatory Status

The Company is not an insurance company, insurance agent, corporate agent, insurance broker, or any other IRDAI-registered intermediary. The Company acts solely as a facilitator and introducer by referring Users to the Service Provider, who is the IRDAI-registered intermediary responsible for all regulated insurance solicitation and distribution. The Company does not itself solicit, advise on, or effect insurance contracts. All insurance products offered through the Matrix Services are subject to IRDAI rules, regulations, guidelines, and circulars. You are solely responsible for evaluating any insurance product before purchase. Insurance is the subject matter of solicitation; please read the policy wordings carefully before concluding a sale.

15.6 Section 41 of the Insurance Act, 1938

No person shall offer, directly or indirectly, as an inducement to take out, renew, or continue an insurance policy, any rebate of commission or premium shown on the policy. Any default may attract a penalty of up to ten lakh rupees under Section 41 of the Insurance Act, 1938.

15.7 Third-Party Payment Disclaimer

You declare that any premium paid through the Website or App is paid from your own bank account, credit card, debit card, UPI, or payment instrument held in your name. If payment is made from a third-party account, the Company and/or Insurer may undertake enhanced due diligence, and you shall be responsible for all consequences including potential policy cancellation.

  • To conduct analytics, research, and service improvement;

  • To detect and prevent fraud, security breaches, and illegal activity;

We process personal data only: (a) on the basis of your valid consent; (b) for legitimate uses under Section 7 of the DPDP Act (including performance of a contract, compliance with law, and employment-related processing); or (c) as required by any law in force. 3. HOW WE SHARE YOUR DATA

We do not sell your personal data. We share it only in the following circumstances:

3.1 Service Provider and Insurer

We share your information with the Service Provider and Insurer for the purpose of facilitating the insurance product you have requested. The Service Provider and Insurer may act as independent Data Fiduciaries and their own privacy policies apply to data they receive.

3.2 Group Companies and Affiliates

We may share data with our subsidiaries, affiliates, and group companies (including Matrix Forex Services Private Limited) for purposes consistent with this Privacy Policy.

3.3 Service Providers and Vendors

We share data with third-party vendors who support our business operations (e.g., payment gateways, analytics providers, cloud infrastructure, notification services), who are bound by contractual obligations to keep your data confidential and use it only for the purposes for which it was disclosed.

3.4 Legal and Regulatory Disclosures

We may disclose your information when required to do so by law, court order, regulatory direction, or government demand, or when we believe in good faith that disclosure is reasonably necessary to: (a) comply with a legal obligation; (b) protect the rights, property, or safety of Matrix, our users, or the public; or (c) investigate, prevent, or take action against suspected illegal activity or fraud.

3.5 Business Transfers

In the event of a merger, acquisition, restructuring, or sale of assets, your personal data may be transferred to the acquiring entity as part of that transaction. You will be notified of any such change in ownership affecting your data.

3.6 Consent-Based Sharing

We may share your data in any other circumstances with your explicit prior consent.

4. COOKIES AND TRACKING TECHNOLOGIES

We use cookies and similar technologies for analytics, personalisation, and advertising. Third-party analytics tools (such as Google Analytics) may collect information about your use of our platforms over time and across different websites. To opt out of Google Analytics, you may install the Google Analytics Opt-Out Browser Add-on.

Third-party advertisers and ad networks may also use cookies to serve tailored advertisements based on your browsing behaviour. We do not control those cookies. You may opt out of tailored advertising through programmes such as the Network Advertising Initiative's Consumer Opt-Out Link.

We do not currently respond to browser-initiated Do Not Track signals.

5. DATA RETENTION

We retain your personal data only for as long as: (a) the specified purpose for which it was collected continues to be served; or (b) retention is required by Applicable Laws (including AML/KYC record-keeping obligations).

Upon withdrawal of consent, or when it is reasonable to assume the specified purpose is no longer being served, personal data will be erased unless retention is mandated by law. We will also instruct our Data Processors to erase any personal data shared with them. We may retain anonymised or aggregated data that does not identify any individual User for analytical and statistical purposes.

You may close your account at any time through the profile settings on our platforms. Upon closure, we will log you out, remove your public posts from view, and cease sending push notifications. We may retain certain information as required by law or to prevent, investigate, or identify possible wrongdoing.

6. DATA SECURITY

We implement reasonable technical and organisational safeguards to protect your personal data against unauthorised access, disclosure, alteration, destruction, or loss, in compliance with Section 8(5) of the DPDP Act. These include encryption, access controls, and vault/tokenisation services for payment data (PCI-DSS compliant).

No method of data transmission over the internet or electronic storage is 100% secure. While we strive to protect your personal data, we cannot guarantee absolute security. We are not liable for disclosure resulting from transmission errors, unauthorised third-party access, or other causes beyond our reasonable control.

In the event of a personal data breach, the Company shall: (a) notify the Data Protection Board of India in the prescribed form and manner; and (b) notify each affected User as prescribed under the DPDP Act.

You are responsible for keeping your account credentials confidential. Do not share your username or password with anyone. If we receive instructions using your credentials, we will treat them as authorised by you.

6.1 Force Majeure

Matrix shall not be liable for loss, damage, or misuse of personal data attributable to a Force Majeure Event, meaning any event beyond Matrix's reasonable control including unavailability of communication systems, cyberattacks, sabotage, fire, flood, acts of God, civil commotion, strikes, war, acts of government, or mechanical or technical failures.

7. YOUR RIGHTS AS A DATA PRINCIPAL

Under Chapter III of the DPDP Act, you have the following rights:

  • Right to access: Obtain a summary of personal data being processed by the Company and the processing activities undertaken, in accordance with Section 11(1)(a) of the DPDP Act.

  • Right to information about sharing: Obtain the identities of all Data Fiduciaries and Data Processors with whom your data has been shared, along with a description of the data shared, in accordance with Section 11(1)(b) of the DPDP Act.

  • Right to correction and erasure: Seek correction, completion, updating, or erasure of inaccurate, incomplete, or misleading personal data, in accordance with Section 12 of the DPDP Act.

  • Right to erasure: Request erasure of personal data that is no longer necessary for the purpose for which it was collected, subject to retention obligations under Applicable Laws.

  • Right to nominate: Nominate another individual to exercise these rights on your behalf in the event of your death or incapacity.

  • Right to grievance redressal: Access readily available means of grievance redressal in respect of the Company's processing of your personal data.


To exercise any of these rights, please contact the Grievance Officer at the details provided in Clause 17 of Part A. Your right to correct, update, or delete your data may be limited where: (i) the request is abusive or excessive; (ii) the rights or safety of another person would be affected; or (iii) the information relates to existing or anticipated legal proceedings.

7.1 Withdrawal of Consent

Where processing is based on your consent, you may withdraw it at any time with the same ease as giving it. You may withdraw consent through the Website, App, or by contacting the Grievance Officer. Withdrawal does not affect the lawfulness of processing carried out before the withdrawal. Following withdrawal, the Company will cease processing unless required by Applicable Law.

7.2 Duties of the User

Under Section 15 of the DPDP Act, you must: (a) comply with Applicable Laws when exercising your rights; (b) not file false or frivolous complaints with the Data Protection Board of India; (c) not furnish false particulars or suppress material information; and (d) not impersonate another person when providing data. Violation may attract a penalty of up to INR 10,000.

8. CROSS-BORDER DATA TRANSFERS

The Company may transfer personal data outside India for the purpose of processing in connection with the provision of Matrix Services, subject to the provisions of Section 16 of the DPDP Act. The Company will not transfer personal data to any country or territory restricted by the Central Government. Where data is transferred to a third party outside India, the Company shall ensure the recipient maintains adequate safeguards.

9. CHILDREN'S DATA

The Website and App are not intended for individuals under 18 years of age. The Company shall not knowingly process personal data of children without verifiable consent from the parent or lawful guardian, in accordance with Section 9 of the DPDP Act. The Company shall not undertake behavioural monitoring or targeted advertising directed at children.

10. THIRD-PARTY LINKS AND SERVICES

Our platforms may contain links to third-party websites and applications. We are not responsible for the content or privacy practices of those sites. This Privacy Policy does not cover data collected by third parties. We encourage you to read the privacy policies of any third-party sites you visit.
